1. Acceptance of Terms

By accessing and using Sure Growth Lab's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

1.1 Service Agreement

These terms constitute a legally binding agreement between you ("Client") and Sure Growth Lab ("Company", "we", "us", "our"). By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

2. Services Description

Sure Growth Lab provides business growth consulting, strategic analytics, performance optimization, and team transformation services. Our services include but are not limited to:

• Strategic business analytics and data-driven insights
• Growth acceleration strategies and implementation plans
• Performance optimization and process improvement
• Team development and transformation programs
• Marketing strategy development and execution
• Custom business solutions and consulting

2.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to clients. We will make every effort to minimize disruption to ongoing projects.

3. Client Responsibilities

To ensure the successful delivery of our services, clients agree to:

• Provide accurate, complete, and timely information as requested
• Cooperate fully with our team and provide necessary access to systems and personnel
• Make timely payments as outlined in the service agreement
• Maintain confidentiality of proprietary methodologies and strategies shared
• Implement recommendations in good faith and provide feedback on results

4. Payment Terms

4.1 Pricing and Billing

Our service pricing is outlined in our pricing plans (Bronze, Silver, Gold, and Enterprise). All prices are in USD and are subject to change with 30 days' notice to existing clients.

4.2 Payment Schedule

Monthly services are billed in advance on the same date each month. Enterprise clients may have custom billing arrangements as specified in their individual agreements.

4.3 Late Payments

Late payments may result in service suspension. A late fee of 1.5% per month may be applied to overdue amounts. Services will be reinstated upon payment of all outstanding amounts.

4.4 Refunds

Refunds are considered on a case-by-case basis. No refunds will be provided for services already delivered or for early termination of monthly contracts.

5. Intellectual Property

5.1 Client Data

All client data, information, and materials provided to us remain the property of the client. We will not use client data for any purpose other than providing our contracted services.

5.2 Our Intellectual Property

All methodologies, frameworks, tools, and proprietary knowledge developed by Sure Growth Lab remain our intellectual property. Clients may not reproduce, distribute, or use these materials outside the scope of our service agreement.

5.3 Work Product

Deliverables created specifically for the client (reports, strategies, recommendations) become the client's property upon full payment. However, our underlying methodologies and frameworks remain our intellectual property.

6. Confidentiality

We are committed to maintaining the confidentiality of all client information. We will not disclose confidential information to third parties without written consent, except as required by law.

6.1 Non-Disclosure Agreement

All team members are bound by strict confidentiality agreements. We will take reasonable measures to protect client information and maintain appropriate security protocols.

6.2 Client Confidentiality

Clients agree to maintain confidentiality of our proprietary methodologies, strategies, and internal processes shared during the course of our engagement.

7. Limitation of Liability

To the maximum extent permitted by law, Sure Growth Lab's liability for any claims arising from our services is limited to the total amount paid by the client for services in the 12 months preceding the claim.

7.1 No Guarantee of Results

While we strive to deliver exceptional results, we cannot guarantee specific business outcomes. Results depend on various factors including market conditions, client implementation, and external factors beyond our control.

7.2 Indemnification

Clients agree to indemnify and hold harmless Sure Growth Lab from any claims arising from the client's use of our services or implementation of our recommendations.

8. Termination

8.1 Client Termination

Clients may terminate monthly services with 30 days' written notice. Enterprise clients may have different termination terms as specified in their individual agreements.

8.2 Our Right to Terminate

We reserve the right to terminate services immediately if the client breaches these terms, fails to make payments, or engages in conduct that interferes with our ability to provide services.

8.3 Effect of Termination

Upon termination, all outstanding payments become immediately due. We will provide a final report of work completed and return any client materials in our possession.

9. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States. Any disputes shall be resolved in the courts of Jackson County, Missouri.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website and will become effective 30 days after posting. Continued use of our services constitutes acceptance of the modified terms.

12. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
